These Terms of Service ("Terms") govern your use of the Harper Sourcing website (harpersourcing.com) and our equipment deal facilitation services. By using our website or services, you agree to these Terms.

About Our Services

Harper Sourcing is a construction equipment deal facilitation service. We connect vetted sellers with qualified buyers by sourcing, screening, matching, and coordinating equipment transactions. We do not purchase equipment, take ownership of equipment, or act as a dealer. We serve as a neutral intermediary facilitating communication and transaction management between parties.

Facilitation Role

Harper Sourcing acts solely as a facilitator. We are not a party to any equipment sale or purchase agreement between buyers and sellers. We do not guarantee:

• The condition, quality, legality, or accuracy of any equipment listing
• The ability of sellers to sell or buyers to purchase
• That a transaction will be completed
• The accuracy of information provided by either party

All equipment transactions are ultimately between the buyer and seller. Both parties are responsible for conducting their own due diligence, including equipment inspections, title verification, and financing arrangements.

Facilitation Fee

Harper Sourcing charges a facilitation fee of 3-5% on successfully closed deals. The specific fee percentage and payment terms are outlined in the Facilitation Agreement provided to both parties through the Deal Room prior to any transaction. No fee is charged unless a deal is successfully completed.

User Responsibilities

When using our website or services, you agree to:

• Provide accurate, truthful, and complete information
• Not misrepresent the condition, ownership, or status of any equipment
• Respond to communications in a timely manner
• Act in good faith throughout the facilitation process
• Not circumvent Harper Sourcing to complete a transaction introduced through our service

Deal Room

Our Deal Room is a private, secure space for managing equipment transactions. By accessing a Deal Room, you agree to:

• Keep all information shared in the Deal Room confidential
• Not share your Deal Room link with unauthorized parties
• Not contact the other party directly unless authorized by Harper Sourcing
• Complete all required steps (agreements, questionnaires, document uploads) to participate in the deal process

Intellectual Property

All content on this website — including text, design, graphics, logos, the "Hive" system concept, and the Harper Sourcing brand — is the property of Harper Sourcing and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

Limitation of Liability

To the maximum extent permitted by law, Harper Sourcing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. This includes, but is not limited to, damages arising from failed transactions, equipment disputes, or reliance on information provided through our platform.

Harper Sourcing's total liability for any claim arising from our services shall not exceed the facilitation fee paid (or payable) for the specific transaction in question.

Indemnification

You agree to indemnify and hold harmless Harper Sourcing, its founder, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or any transaction facilitated through our platform.

Disclaimer

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

Governing Law

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or our services shall be resolved in the courts located in San Diego County, California.
